Indian Motorcycle Riders Group, Latrobe PA Chapter 1939

ARTICLE I MEMBERSHIP Qualification: The members of the Indian Motorcycle Riders Group, Latrobe PA Chapter 1939 (hereby referred to as the “Chapter” or “IMRG 1939”) shall be individuals that are interested in the betterment of Indian Motorcycles. Membership rights may not be transferred, assigned, or devised. No Member by virtue of membership shall have any right, title, or interest in / to any property of the Chapter. Membership in this organization or benefits received from any association with this organization shall be determined on a nondiscriminatory basis, without regard for age, sex, race, religion, sexual orientation, or national origin. There shall be a single category of membership. Full Membership: Any person (over the age of 18) dedicated to the purposes of this organization, showing proof of current ownership of a two wheel or three wheeled motorcycle regardless of brand manufacturer, shall be eligible for a “Full Chapter Membership.” Full Chapter Members have all voting privileges and pay dues. Full Members evidencing current Chapter membership in good standing shall be eligible for IMRG 1939 leadership positions. Full Members losing eligibility of status through expiration of Chapter membership shall lose their rights of status. Membership Fees and Dues: Members’ dues shall be subject to annual review and change. Dues are paid by January 1st each year and are valid for the one-year period. New member dues may be pro-rated. Membership Termination: Any membership may be terminated under the following circumstances: By the Board of Directors after thirty (30) days written notice for failure to pay dues. Upon a majority vote of the Full board at a special meeting, upon finding that the purposes, best interest, or well-being of the Chapter will be served by the termination. No member shall be terminated under this clause until a member has been afforded a reasonable opportunity to be heard at a membership meeting. By not complying with the IMRG 1939 Rules and Code of Conduct. Meetings of Members: Place of Meeting: Meetings of the membership shall be held at such a place convenient to the membership as may be designated by the Chapter President. Regular Meetings: Regular meetings may be held at any time, whether or not a legal holiday, and may be called by the Chapter President, or shall be called by him or her as directed by the Board of Officers. The Members may transact such business as may properly come before them via agenda or by motion of members in good standing with the chapter. Notice of Meetings: It shall be the duty of the meeting Secretary or Committee Chairperson appointed by the Chapter President to give email, oral or written notice of each regular or special meetings stating the purpose thereof, as well as the time and place where it is to be held, to each member of the record at the email address, phone number(s) or address of the member as such information appears on the membership records of the Chapter at least ten (10) days prior to any such meeting. Voting Rights: At each meeting of the membership, each Member present, and is current with Chapter dues, shall have the right to cast one (1) vote on each question, and never have more than one (1) vote. There shall be no voting by proxies. One vote per member via email is acceptable. Conduct of Meetings: Meetings of the Members shall be conducted in accordance with the Roberts Rules of Order, revised. The Chapter President, if present or if not present, the Chapter Vice President, then Secretary, then Treasurer shall preside over the meetings of the Members. The absence of such Officers at any meeting of Members, the Members present at the meeting shall appoint any person present to act as presiding officer of the meeting. The order of business at each regular and so far, as possible at special meetings of the Members, shall be via the agenda: Call to Order Introduction Approval of Minutes Reports: President, Vice President, Treasurer, Secretary, Directors Unfinished Business New Business Member Open Forum Upcoming Events Adjournment ARTICLE II BOARD OF OFFICERS / DIRECTORS Powers: The Board of Officers shall have only such powers as required by laws or conferred upon the Board in the articles of incorporation and of these Bylaws. The Board of Officers shall have the power to act as an Executive Committee between meetings of the membership. Number: The Board of Officers of the Chapter shall consist of five (5) elected Officers (as described in ARTICLE III of these Bylaws). The Board of Officers, as described in ARTICLE III of these Bylaws, may appoint Additional Directors. Qualification: The members of the Board of Officers shall be individuals that hold either one of the five (5) elected Officer positions, or one of the appointed Director positions. Only full Chapter members in good standing may be elected to the Board of Officers or appointed as Directors as outlined in ARTICLE I of these Bylaws. Term of Office: The initial Board will have a term of one (1) year in office. Thereafter, each elected Officer or nominated Director, excluding the Treasurer, shall serve for a term of one (1) year and until a successor has been elected and is qualified, or until such time as removed by the Board. Officers may be re-elected after their term expires. The term of the office is from January 1st of each year. To the extent possible, the exiting officers will remain in either a lower officer position or as a consultant to the elected officers for a period of one year after his or her term ends to help guide the incoming officers in fulfilling their duties. Officers and Directors Termination: Elected Officers or nominated Director Members may be removed from their position under the following circumstances: They are removed from the Chapter pursuant to section – Membership Termination. Absence from three consecutive unexcused Board meetings will require the Secretary to contact that individual to let them know if they miss the next board meeting, they may be removed. This does not affect the individual’s Chapter membership status. Extenuating circumstances will be considered in this matter. Any Board Member convicted of a felony offense while in office, is subject to removal from their position by vote of the board. ARTICLE III OFFICERS Officers: The Officers of the Chapter shall consist of a President, Vice President, Secretary, Treasurer, and Membership Director. Any Member in good standing shall be qualified to be an officer of the Chapter. All Officers of the Chapter shall be nominated and elected by a plurality of the votes of the Members at such meeting. If required, the Chapter President with the Executive Committee (EC) approval may appoint additional Officers. Nominations of officers should be made during the regular meeting prior to the annual Membership Meeting. Executive Committee: The Executive Committee (EC) is a group of five (5) Officers appointed to act on behalf of, and within the powers granted to them by, the Board of Directors. It consists of the President, Vice-President, Secretary, Treasurer, Membership Director, and if the Secretary and Treasurer positions are combined, then also the Activities and Marketing Director. A quorum of the EC shall consist of four (4) members. Motions shall be passed by a majority vote. If a motion is stalled by a tie vote after three (3) attempts, it must go before the membership for consideration. Elected Officers: Duties of President: *Enforce the “Charter” and operating policies along with sponsoring dealer. *Overall responsibility for Chapter operation, administration, and implementation of Indian Motorcycle policies. *Ensure that the Chapter complies with all corporate state and federal tax and annual filing requirements. *Preside at all Chapter meetings. *Plan and coordinate Chapter meetings to ensure well planned and worthwhile agendas. *Inform Members of any news from Indian Motorcycle. A ‘President’ patch or other approved insignia will identify the officeholder. The exiting President will remain in either a lower officer position or as a consultant to the elected President for a period of one year after his or her term ends to help guide the incoming president in fulfilling their duties. Duties of Vice-President: The Vice-President may assume and perform the duties of the President in the absence or disability of the President or whenever the office of President is vacant. A ‘Vice-President’ patch or other approved insignia will identify the officeholder. Duties of Secretary: *Oversee administrative duties. *Record Chapter minutes. *Submit any forms/reports to Indian Motorcycle Riders Group office. *Organize and maintain Chapter records of insurance (if applicable), injury release/waiver forms. *Comply with any annual state filing requirements. *Submit goals for the upcoming year for the Yearly Chapter Application. A ‘Secretary’ patch or other approved insignia will identify the officeholder. Duties of Treasurer: *Maintain the Chapter’s financial accounts. *Pay all approved expenses. *Provide financial reports to the Chapter monthly. *Manage all approved charitable contributions and distribution of approved contributions. *Maintain running comparison of yearly Chapter finances. *Prepare and file all required corporate state and federal tax reports. Due to the financial complexities of this position, the Treasurer will hold and retain this position until he/she elects to resign, or the Board votes to remove and replace such a person. A ‘Treasurer’ patch or other approved insignia will identify the officeholder. Duties of Membership Director: *Welcome and interact with new members at Chapter meetings and events and manage the member list. *Contact members who have been “missing” for a period of time to check in and confirm their welfare. *Be a point of first contact for those inquiring to become members. A ‘Membership Director’ patch or other approved insignia will identify the officeholder. Duties of Safety Officer: *It is highly recommended that they have attended and passed the Motorcycle Safety Foundation course or equivalent. (Basic Riders Course 2) *Appoint and train Road Captains and Officers. *Ensure that the Road Captains follow all safety guidelines. *Make MSF information available to members. *Teach Members proper safety instructions and hand signals at a minimum of four (4) meetings per year. *Help collect signed waiver release forms for ride events if present. *The President of the Chapter must approve the Safety Officer’s appointment. A ‘Safety Officer’ patch or other approved insignia will identify the officeholder. Appointed Director Positions: (Optional Positions not needed for chapter organization.) The Board of Officers shall have the power to appoint Principal Directors, Assistant Directors and Officers who shall have the powers and shall perform such duties as may be delegated to them to support the ongoing functions and activities of the Chapter. Each appointed Director or Assistant Director shall be subordinate to the Board of Officers. Appointed Principal Director Positions can be filled by one or more elected Board of Officers. Appointed positions include: Road Captain: It is highly recommended that they have attended and passed the Motorcycle Safety Foundation course or equivalent. (Basic Riders Course 2) They are responsible for planning and leading ride routes for Chapter ride events and give a pre-ride overview: road conditions, safety, planned stops, hand signals review, etc. Marketing Director: Markets events to Chapter Members and any individual interested. Ensures that all communication pieces and Chapter business are being communicated with members. Works with the sponsoring dealership to support dealership events. Additional guidance is available in the IMRG Handbook. Activities Director: Plans activities for the Chapter as the Chapter sees fit, and oversees the administrative planning, logistics, and other duties of events. Photographer: Takes and organizes Chapter photos. Submits photos and uploads them to the Chapter’s website and social media account(s) or provides them to the web director for uploading. Editor: Writes, edits, and distributes Chapter publications. Presents any publications to the board for approval. Web Director: Edits and updates the Chapter’s website and social media sites. Nomination and Election: Election of Officers will be held at the November Chapter meeting. Nominations for each office up for election shall be in writing and delivered to the Secretary at least 7 days before the set meeting of the Members, in which time the election is held. The nomination notification may be made through an email or text to the Secretary. Verbal nominations from the floor are allowed during the October Chapter meeting prior to the election of Officers. Only active Members may vote. An active Member is defined as: *Has an active IMRG Membership. *Is current with Chapter dues. The Secretary shall provide a list of the candidates, via e-mail or other means, no later than one (1) week after the deadline for nominations has passed. The Member receiving the majority votes cast for an office shall be declared elected. In the event no Member receives a majority of the votes cast, the two (2) candidates with the most votes shall be voted upon a second time. Members may hold more than one, but no more than three (3) elected offices during any given period. Neither the President, Vice President, or Secretary may hold any of these three (3) positions at one time to allow for division of power and separation of duties. Vacated Office and Replacements: From time to time an Officer representative may vacate a position. The replacement policy for vacancies on the Board may be filled by approval of the Board. Removal of a Chapter Officer: Any officer of the Chapter may be removed from office, without cause, by a unanimous vote of the Members or by the Sponsoring Dealership. Impeachment of an Officer must be done at a Special Meeting with prior notice. ARTICLE IV NON-PROFIT STATUS Indian Motorcycle Riders Group, Latrobe PA Chapter 1939 (IMRG 1939) will operate as a non-profit organization. Any funds collected by the organization that are not consumed by internal costs and activities shall be distributed to other qualified non-profit organizations as prescribed by Federal and Commonwealth of Pennsylvania law upon the dissolution of the chapter. Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such exempt purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such exempt purposes. Funds shall not be used for any political purpose nor distributed with the intent to support any political candidate or position. The Treasurer will keep a record of all funds distributed along with evidence that the receiving party is a qualified non-profit organization and shall permit auditing of those records by all persons and organizations with a valid interest in doing so. ARTICLE V VEST STANDARDS The IMRG 1939 standard for vests is as follows: The front of an IMRG 1939 member’s vest is to include the USA flag patch on the upper left side of the vest (which places the stars closest to the heart). Nothing is to be placed above the flag patch. The Chapter will adhere to the current IMRG Handbook produced by IMRG Indian Motorcycle Corporate for current brand guidelines and placement. All back patches and logos are subject to approval by IMRG Indian Motorcycle Corporate. This can be done by submitting artwork directly to Indian Corporate for approval at IMRG.RiderGroup@polaris.com or through our Regional Coordinator. Our Regional Coordinator can also provide ideas of group back patches to give an idea of what is acceptable. Our Regional Coordinator’s email address is ne.region.imr@gmail.com. Members are highly encouraged to commit to one back patch while serving as a member of IMRG 1939. This is not mandatory for membership in IMRG 1939. Anyone who practices by word or deed anything that would discredit IMRG 1939 will be asked and expected to remove his or her IMRG 1939 back patch. If a member is asked to remove or return their back patch, no reimbursement should be expected, or given, by IMRG 1939. ARTICLE VI INDEMNITY This indemnification will apply in all cases except where such action is adjudicated to be willfully not in the best interest of IMRG 1939, is in conflict with any federal, state, or local laws, or goes against the stated intent of the organization’s Bylaws. Such indemnification shall extend to the heirs, assigns, executors, and administrators of all persons entitled to indemnification. Neither the IMRG 1939 Chapter nor its Officers, Directors, nor Members are in any way responsible for or liable for personal injury/property damage and personal safety during Chapter activities. All individuals and guests participate in activities at their own risk. Members and guests will be required to sign a liability waiver for IMRG 1939 rides. ARTICLE VII DISSOLUTION This Chapter may be dissolved in accordance with the law and/or when Indian Motorcycle of Latrobe PA (Hillview Motorsports West) decides. Any assets remaining after payment of cost and expenses of the dissolution proceedings, payment of debts, obligations, and liabilities of the Chapter shall be distributed to a non-profit charity as described in ARTICLE IV. ARTICLE VIII BYLAWS CONFLICTS In the event of any Bylaws conflicts, the Chapter will refer to the National Indian Motorcycle Riders Group Handbook which will take precedence.

ARTICLE IV NON-PROFIT STATUS Indian Motorcycle Riders Group, Latrobe PA Chapter 1939 (IMRG 1939) will operate as a non-profit organization. Any funds collected by the organization that are not consumed by internal costs and activities shall be distributed to other qualified non-profit organizations as prescribed by Federal and Commonwealth of Pennsylvania law upon the dissolution of the chapter. Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such exempt purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such exempt purposes. Funds shall not be used for any political purpose nor distributed with the intent to support any political candidate or position. The Treasurer will keep a record of all funds distributed along with evidence that the receiving party is a qualified non-profit organization and shall permit auditing of those records by all persons and organizations with a valid interest in doing so. ARTICLE V VEST STANDARDS The IMRG 1939 standard for vests is as follows: The front of an IMRG 1939 member’s vest is to include the USA flag patch on the upper left side of the vest (which places the stars closest to the heart). Nothing is to be placed above the flag patch. The Chapter will adhere to the current IMRG Handbook produced by IMRG Indian Motorcycle Corporate for current brand guidelines and placement. All back patches and logos are subject to approval by IMRG Indian Motorcycle Corporate. This can be done by submitting artwork directly to Indian Corporate for approval at IMRG.RiderGroup@polaris.com or through our Regional Coordinator. Our Regional Coordinator can also provide ideas of group back patches to give an idea of what is acceptable. Our Regional Coordinator’s email address is ne.region.imr@gmail.com. Members are highly encouraged to commit to one back patch while serving as a member of IMRG 1939. This is not mandatory for membership in IMRG 1939. Anyone who practices by word or deed anything that would discredit IMRG 1939 will be asked and expected to remove his or her IMRG 1939 back patch. If a member is asked to remove or return their back patch, no reimbursement should be expected, or given, by IMRG 1939. ARTICLE VI INDEMNITY This indemnification will apply in all cases except where such action is adjudicated to be willfully not in the best interest of IMRG 1939, is in conflict with any federal, state, or local laws, or goes against the stated intent of the organization’s Bylaws. Such indemnification shall extend to the heirs, assigns, executors, and administrators of all persons entitled to indemnification. Neither the IMRG 1939 Chapter nor its Officers, Directors, nor Members are in any way responsible for or liable for personal injury/property damage and personal safety during Chapter activities. All individuals and guests participate in activities at their own risk. Members and guests will be required to sign a liability waiver for IMRG 1939 rides. ARTICLE VII DISSOLUTION This Chapter may be dissolved in accordance with the law and/or when Indian Motorcycle of Latrobe PA (Hillview Motorsports West) decides. Any assets remaining after payment of cost and expenses of the dissolution proceedings, payment of debts, obligations, and liabilities of the Chapter shall be distributed to a non-profit charity as described in ARTICLE IV. ARTICLE VIII BYLAWS CONFLICTS In the event of any Bylaws conflicts, the Chapter will refer to the National Indian Motorcycle Riders Group Handbook which will take precedence.
